I. Name, Legal form and Seat
Art. 1
Under the name association Direct Donation, an association exists in the
spirit of art. 60 ff. Swiss civil code with seat at Birmensdorferstrasse
155, 8003 Zurich. All person designations of these articles apply to both
sexes.
II. Purpose and Goals
Art.2
The association Direct Donation supports projects for needy humans in
emergency and charitable projects in the field of nature and environment.
The association Direct Donation pursues charitable purposes.
The association Direct Donation pursues no commercial purposes and strives
not for any profit. The members of Direct Donation have not any economical
and economic advantages.
The association Direct Donation aims for the administration and operational
guidance of the internet portal www.directdonation.org. The association
Direct Donation offers an internet platform with publicity possibility,
communication forum and market place to charitable relief organizations
and their projects.
The association Direct Donation spends 100 % of the donation funds on
the purpose in accordance with the regulation.
The association Direct Donation finances the administrative expenses with
separately named actions and defined allowances.
The association Direct Donation shows "on-line" detailed information
about the projects and reveals transparently the use of the donation funds.
The association Direct Donation provides a platform to relief organizations
and their projects at home and abroad. The association Direct Donation
is politically and denominationally neutral and independent toward a third
party.
III. Membership
Art. 3
Members of the association Direct Donation can be natural or legal entities,
who recognize the purpose of the association and are willing to promote.
The association Direct Donation consists of the following member categories:
- active members - passive members
- honorary members
The number of the members is unlimited.
Art. 4
Applications for admission needs to be addressed in writing to the executive
committee. The executive committee decides on the admission with a three
quarters majority. Active members are natural persons, who take over actively
some tasks in Direct Donation. All membership rights are entitled to them.
Passive members are natural or legal entities, who support Direct Donation
with the membership fee, without taking over actively any tasks. No right
to vote in the general meeting is entitled to them. The association meeting
can appoint natural persons as honorary members, who render outstanding
services to Direct Donation, They are entitled to vote in the general
meeting.
Art. 5 The membership expires in case of withdrawal, death or expiring
of a legal entity and by exclusion The withdrawal can take place at any
time on the end of a calendar year under adherence to a three-monthly
period of time in writing to the executive committee. A member can be
excluded by the executive committee, if it does not follow its obligations
in relation to the association or if it reveals a behaviour which is incompatible
with the purpose, goals or otherwise incompatible with the interests of
Direct Donation. The executive committee finally decides on the exclusion
of members without details about the reasons Against an exclusion of a
member by the executive committee, an appeal can be lodged within 30 days
to the association meeting. In front of the association meeting the excluded
member has the right to be heard.
Art. 6
The annual membership fee amounts: for active members: CHF 10.00 for passive
members: CHF 100.00 (natural persons) and CHF 100.00 (legal entities).
The fiscal year of the association corresponds to the calendar year. The
annual membership fees are prepaid and are due on every 31 January, for
new members at the time of their entrance into the association.
IV. Organs
Art. 7
Organs of the association Direct Donation are:
1. The general meeting
2. The executive committee
3. The management
4. The auditing agency
V. General meeting
Art. 8
The members are invited in writing at least 20 days before the general
meeting - under indication of the agenda items - by the executive committee.
The General meeting usually takes place at 1st or 2nd quarter a year.
Requests of members concerning the general meeting are to be addressed
in writing to the president at the latest 10 days before the appointment.
On request of the executive committee or at least of one fifth of the
members or on request of the auditing agency, an extraordinary general
meeting takes place. An extraordinary general meeting is called by the
executive committee. Invitations to the extraordinary general meeting
must be sent 10 days in advance and be contained the agenda items with
the requests. A substitute by a third-person who is not a member is excluded
in the general meeting.
Art. 9
The general meeting is responsible for:
1. Permission of minutes of the general meeting
2. Approval of annual report
3. Approval of annual account after having noticed the auditor's report
4. Distribution of the discharge to the executive committee 5. Adoption
of a resolution on member fees 6. Adoption of a resolution on the amendment
of the articles with a two-third majority of the present members
7. Election of the president
8. Election of the members of the executive committee
9. Election of the management
10. Election of the auditor
11. Appeal against exclusion of a member
12. Adoption of resolutions on requests
13. The voting on liquidation of the association requires the approval
of at least 3/4 of the present votes. The general meeting decides, in
case of liquidation on the use of the association assets. The assets have
to be used, according to the purpose of the association, for the field
of charitable organisations. A distribution among the members is excluded.
Art. 10
The general meeting is led by the president. In the case of his inability
to come, by another member of the executive committee. The general meeting
passes its resolutions with the absolute majority of the valid votes.
In case of equality of votes, the chairman of the general meeting will
make the final ballot. On elections, an absolute majority is valid in
the first ballot, a relative majority in the second ballot of the recorded
votes. Votes are taken in public, except for the fact that the majority
of the present members requires a secret ballot. Passive members do not
have the right to vote.
VI. The Executive Committee
Art. 11
The members of the executive committee are honorary active and have in
principle only the right of compensation for their effective charges and
cash expenditures. For special achievements of individual members of the
executive committee, an appropriate remuneration can be paid. The executive
committee - except the election of the president - constitutes and organizes
itself. The executive committee meets as often as business requires, however
at least once a year The convening is arranged by the president. The executive
committee has the quorum, as soon as at least half of the members of the
executive committee is present. The term in office of the members lasts
one year, begins and ends every time at the general meeting. The executive
committee can nominate a manager. The tasks and competences are laid down
in an organization regulation.
Art. 12
The executive committee decides on all tasks, which are entrusted to it
by the general meeting or by the law or articles. The responsibilities
of the executive committee particularly includes:
1. Adoption of resolutions on all the association affairs which are not
specifically entrusted to the general meeting or to other organs. It is
particularly responsible for the whole management and the general supervision
of the association's interests 2. Execution of the association's resolutions
3. Deputizing for the association in public
4. Financial plan, financial leadership and control of the use of the
funds. 5. Convening of the general meeting
6. Employment and surveillance of the personnel which is necessary for
the association enterprise as well as management and supervision of transactions
of the office. The executive committee has the quorum as soon as at least
three members are present Adoption of resolutions of the executive committee
goes with a single-majority. In case of an equality of votes, the president
will have the final ballot. The members of the executive committee signs
collectively two of them The executive committee takes the minutes on
its meetings and resolutions.
VII. The Management
Art. 13
The management adopts the operational activities of the association Direct
Donation Tasks and competences are laid down in an organisation regulation
VII. The auditing agency
Art. 14
The general meeting elects one or several of auditors for the duration
of one association year. The auditor gives or the auditors give the general
meeting reports
VIII. Finances/Liability
Art. 15
The revenues of the association Direct Donation consists of: 1. Statutory
membership fees 2. Voluntary contributions
3. Investment revenues 4. Returns on events and other activities 5. Contributions
from individuals and from government agencies and organisations. 6. Other
financial contributions
Art. 16
Association funds are responsible for the liabilities of the association
Direct Donation A personal liability or an additional obligation of the
members is excluded
IX. Closing Regulations
Art. 17
These articles are adopted according to the foundation protocol at the
foundation meeting of 29 June 2004 in Zurich and decided by resolution
of the general meeting on 24 June 2005 in the present, amended version,
in Art. 1, Art.2, Art. 9 no.13 and Art. 11.
The change of name into "Verein Direct Donation" has been decided by resolution during the extraordinary meeting on Sept. 21, 2005."

The shifting of the seat of the association from Zurich to Massagno (Ticino) has been decided during the extraordinary meeting on Sept. 9, 2006.
